RE-SHAPE THE WORLD CHALLENGE RULES (“RULES”)
The Re-Shape the WorldChallenge (“Challenge”)is an open call for emerging start-ups and software entrepreneurs who are passionate about supporting self-employment.We want to celebrate other companies who are helping to re-shape the world for self-employed professionals.
1. Participant Eligibility Requirement
THE CHALLENGE IS OPENTOLEGAL RESIDENTS OF THE UNITED STATES, BUTIS VOID WHERE PROHIBITED BY LAW, RULE OR REGULATION. NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN.A person, Team (defined below), or a business which has completed an application is a “Participant”. A Team is a group of not more than ten (10) people who, together are a “Participant” in the Challenge. Each Team or business must have one person who acts as the lead and who will be the point of contact for theParticipant (“Lead”)as to all matters relating to the Challenge,has the authority to bind the Team and its members, and will be the person who agrees to accept the Prize if the application is judged to be one of the Prize winners. Freshbooks and Fidelity will not in any way take responsibility for determining how the Prize is allocated among Team members or otherwise how the Team utilizes the Prize.Those determinations are the sole responsibility of the Team. Any Prize award will be made to the Lead.
Employees, officers and directors of 2NDSite Inc. (“FreshBooks”) and Fidelity Labs, Inc.and FMR LLC (“Fidelity”) and their respective affiliates, subsidiaries, advertising, promotional, fulfillment and marketing agencies, and all of their immediate families (i.e. parent, child, sibling or spouse) and persons living in the same households as these individuals (whetherrelated or not) are not eligible to participate in the Challenge.
For a Personor Team to be eligible, the Person, or the Lead and Team members must belegal residentsof the United States.
If the Participant is a business, it must:
- be headquartered or qualified to do business in the United States and
- be privately-held and, if incorporated, not incorporated for more than five years, with the possible exception of businesses that are entering the Challenge for the purpose of substantially changing their business model or business direction; and
- not be a professional services or outsourcing firm, both of which are not eligible for the Challenge.
- If a business wins the Prize, the Prize will be awarded to the business by means of the Lead for the business who must have full authority to bind the business and otherwise determine how the Prize is utilized by the business.
All persons whether part of a business or Team must be the legal age of majority in the respective state in which they reside at the time of entry. The Lead of any Team or business cannot be on another Team or business, or be the Lead for another Team or business. Individuals and team members may only participate in one entry.
2. Product or Software Eligibility
The product or software being submitted for the Challenge must:
- already exist in the market (however, the user base can be small and the company can be pre-revenue) and be owned by the Participant, Team members or business as applicable.; Participants with a prototype or closed “beta” product will NOT be accepted; and
- help re-shape the world by addressing the needs of self-employed professionals in either of two broad categories:
- by helping self-employed professionals focus on their client work (e.g., save administrative time, manage client communications, look professional, access new leads); or
- by helping self-employed professionals stay self-employed (e.g., legal protection, tax savings, retirement planning, cash flow management).
3. How to apply
If you are interested in participating in the Challenge, please:
- complete and submit the application form with information about you, your Team and its members and/or your business, including any experience or expertise you believe contributes to your likelihood of success in the Challenge.
By submitting an application, each Participant agrees that the information shared as part of the application process will be accessible to FreshBooks, Fidelity, judges, and their partners. Submitted applications become the property of Freshbooks and Fidelity and cannot be returned. Neither the organisers, Freshbooks and Fidelity, nor the judges, or any of their partners will sign nor be bound by express or implied non-disclosure agreements. While Freshbooks and Fidelity agree not to publish any application in its entirety, Participant agrees that Freshbooks and Fidelity may publicly describe in general terms a Participant’s application and the product or software in connection with the Challenge and otherwise.
Each Participant remains responsible for ensuring adequate protection of its copyrights, trade secrets and other intellectual property that may be included in Participant’s application. If in doubt, please consult your legal representative as to whether any particular information should be included as part of your application.
Each Participant maintains all right, title and interest in and to its respective intellectual property. No transfer of intellectual property to FreshBooks or Fidelity, or any other parties is contemplated under the Challenge. However, each Participant acknowledges that FreshBooks, Fidelity and their partners and organisers may have or build intellectual property of their own in the future, or may license intellectual property from others now or at any future date, which may incorporate ideas or be competitive with information and intellectual property that might be found in a Participant’s application without incurring any liability to Participant.
Participants shall be solely responsible for maintaining all contact and other information in the application up to date, correct and complete.
- By submitting an application, each Participant agrees to be bound by these Official Challenge Rules and that the decisions of Freshbooks and Fidelity are in their discretion, final and controlling.
4. Selection of Winner
Judges of all eligible applications will be selected by Freshbooks and Fidelity and will be experts in their respective fields. The judge panel will have a diverse representation of expertise, such as venture capital, for-profit organizations serving the self-employed market, self-employed workers, start-up acceleration, and independent worker advocacy, and include one judge each from Freshbooks and Fidelity.
There will be three (3) winners chosen after the applications have been reviewed by the judges. To be a winning contender, Participants will need to demonstrate their product or software has extraordinary potential to solve a prevalent problem for self-employed professionals.
Eligibility review: FreshBooks will review all applications to verify their eligibility prior to judging. FreshBooks’ decisions in regards to applicant eligibility are final.
The Judging: Six judges will evaluate and rank each applicant based on pre-determined scoring criteria to select winning Participants. This evaluation will take place remotely based on participants’ online submissions.
The Criteria: Applications will be reviewed and ranked using the following criteria (and respective scales). All factors will be weighed equally.
- Focus on serving self-employed professionals (1=unclear or consumer/enterprise customers, 5=focus on self-employed and key verticals at the exclusion of others)
- Unique offering (1=commoditized and same as others, 5=unique and innovative approach through go-to-market, technology, or operations)
- Large addressable need (1=niche or specialized product or service, 5=broad but personalized solution for large unmet need in the market and product or service has ability to scale effectively)
- Large user base (1=less than 100 users/customers, 5=more than one million users/customers)
- Excellent customer satisfaction (1=poor reviews and few repeat customers, 5=excellent reviews and many repeat customers)
Applicants should provide complete and clearly stated information in their applications, as they may be scored and ranked lower if there is insufficient information or ambiguous information provided. Judges will evaluate each application according to their score.
Three (3) participants selected by the judges will be contacted by telephone, e-mail or inperson. If the selected Participant cannot be contacted or does not respond after a minimum of three (3) attempts within seven (7) calendar days of the first attempt at contact, the selected Participant will forfeit the Prize (defined below) and another Participant will be selected in the manner described above.
Before being awarded a Prize (defined below), the selected Participant will be required to sign a declaration and release form stating that he/she has read, understood and complied with these official Challenge Rules and eligibility requirements, waives any rights to privacy or publicity as allowable by law, accepts the Prize as offered with terms and conditions as included by Freshbooks, Fidelity and the other organisers, and releases FreshBooks, Fidelity and the other organisers, and their affiliates, subsidiaries, agencies and the respective officers, directors, employees and agents thereof from any and all liability of any kind arising out of the selected Participants participation in this Challenge, participation in any aspect of the Challenge, and receipt and use of the Prize as awarded. If the selected Participant does not respond in the prescribed time, fails to claim the Prize, fails to return the signed declaration and release as required, fails to provide any other information properly requested under these Rules, such as taxpayer identification, or is otherwise ineligible, the Prize may be forfeited and an alternate Participant will be selected in the manner described above.
Before being awarded a Prize (defined below) the selected Participant will be required to agree in writing that FreshBooks, Fidelity and any other organisers have the right to post or publish the winning Participant’s name, city, or state of residence, photograph, likeness, voice or other statements on the FreshBooks’ or Fidelity’s website for advertising and promotional purposes, where lawful, without further compensation to the winner, in connection with this Challenge and otherwise in connection with the business of FreshBooks or Fidelity.
Winners will be announced not later than four (4) weeks after they accept the Prize, and will be posted on FreshBooks’ website, and may be posted to Fidelity’s website.
Any individual person is eligible to receive one (1) Prize only.
The three (3) winning Participants (each a “Winner”) will each receive the following prizes (collectively, the “Prize”):
- A cash prize of $10,000 USD, to be paid to the Winner after the completion of the virtual workshops, marketing campaigns, and a trip to Raleigh-Durham, NC (described below)
Virtual workshops conducted by industry experts (who may be FreshBooks employees) which will consist of:
- three 90-minute virtual mentoring workshops held once per month over three months (dates to be determined by mutual agreement, with intent to commence the workshops immediately); workshop topics chosen from a list including Business Model Analysis, Branding, User Experience Design, Legal, Customer acquisition, Content Marketing, and Data Analytics; and
Visit to Raleigh-Durham, NC and networking opportunities, including
- A paid one-day visit. This will include flights and hotel accommodations only for two people, to a maximum of $2,500 USD per Winning team. The Lead for each Winning team will be responsible for selecting up to two team members (including the Lead) for the paid one-day visit. Travel meals and ground transportation will be reimbursed up to $300 per Winning team.
- Product demonstrations and exposure to venture capitalists
- Marketing campaigns, including:
- Promotion of winners and profiles/interviews via posts on FreshBooks Blog and social media, as appropriate;
- Promotion of winners and profiles/interviews via posts on Fidelity Labs’ Blog, goindy.life, and Fidelity social media properties, as determined by Fidelity Labs;
- Collaboration with FreshBooks Events team, as appropriate, to participate in local customer meet-ups
FreshBooks will coordinate arrangements and make purchases for flight and hotel on behalf of the Winners, up to the amount specified. Expenses over this amount will need to be covered by Winners themselves. Food and drink are excluded. Additional travel meals and ground transportation expenses will be reimbursed after the submission of the original receipts to Freshbooks following the FreshBooks expense process to a maximum of $300 per Winning team.
The Prize shall be accepted as is and may not be exchanged or refunded for an amount of money, sold or transferred, in whole or in part. No substitutions will be allowed. Any unused portion of a Prize will be forfeited.
If the Prize cannot be awarded as described in these Rules, FreshBooks reserves the right to substitute a prize or prize component with another of comparable value, as determined in their sole discretion
Refusal to accept the entire Prize releases the Challenge Parties (defined below) from any obligation of any type to the Winner.
6. Waiver, Release, Indemnification
By entering the Challenge, each Participant agrees to be bound by these Rules and the decisions of Freshbooks, Fidelity, the Judges, or any of their partners, on behalf of themselves, and each of their respective heirs, executors, administrators, legal representatives, agents, successors, and assigns (“Releasing Party”), and releases, defends and holds harmless FreshBooks and Fidelity and each of their respective divisions, subsidiaries, affiliated and related companies and associates, direct or indirect, advertising and promotional agencies, and any other organisers, judges, or any of their partners, and all of their respective agents, partners, employees, representatives, shareholders, officers, directors, successors and assigns (collectively, “Challenge Parties”), from any and all causes of action, claims, suits, debts, dues, sums of money, controversies, promises, indirect or direct, in law or equity, whether known or unknown, foreseen or unforeseen, which any Releasing Party has or may have ever had, now or hereafter, arising from or related to the Challenge, the application and any submissions for or to the Challenge, or the award or failure to award any Prize,
If a Participant wins a Prize and accepts the Prize, such acceptance shall mean full satisfaction of the entitlement as a Participant and Winner in the Challenge and the Participant fully discharges and forever releases Challenge Parties, of and from any and all claims, demands, losses, damages, actions or causes of action whatsoever, whether known or unknown, whether at law or in equity which they or their heirs, executors, administrators, successors or assigns may now or hereafter have against any of the Challenge Parties arising from or in connection with the Prize.
Each Participant acknowledges, without limiting the generality of the foregoing, that the Challenge Parties will not be responsible for any injury, accident, or any other loss, damage or expense in connection with the participation in the Challenge or the use of any Prize including, without limitation, in respect of any injury to Participant or any third party resulting from any drugs or alcohol consumed by Participant during or in connection with any travel or event that is connected in any way with the Prize, any medical care or treatment needed or that the Challenge Parties, or any person authorized by any of them, may administer to any Participant in the event of injury or illness during participation in any aspect of the Challenge. The Participant also acknowledges that none of the Challenge Parties has offered any warranty or guarantee respecting any aspect of any Prize available as part of the Challenge and that the Participant will direct any claims he or she may have relating to the Prize exclusively to the supplier, manufacturer or originator, as the case may be, of the Prize.
Further, each Participant assumes all responsibility and liability for any loss, injury or damage to any persons or property, which results from the Participant’s actions or omissions, whether negligent or otherwise, in connection with their participation, including but not limited to participation in the Challenge or use of the Prize in any way.
By entering the Challenge, each Participant agrees to indemnify, defend and hold harmless the Challenge Parties from and against any and all claims, actions, demands, and liabilities including those raised or brought by third parties, and any costs and expenses, including, without limitation, reasonable attorney and professional fees and costs, and other expenses of any nature incurred in the investigation and defense of any claims resulting from any breach of these Rules, or any representations made in an application or submission related to the Challenge, including but not limited to representations regarding ownership of intellectual property submitted to the Challenge, whether now known or unknown, or anticipated or unanticipated.
Acceptance of the Prize shall be considered consent to FreshBooks and Fidelity to use, without further compensation to the Participant, name, city of residence, voice, statements and any photograph, film rendering or tape recording of the Participant, by or on behalf of FreshBooks or Fidelity arising out of or in connection with the Challenge in any form of publication or display including, without limitation, newspapers and other publications, radio and television broadcasts, film releases and interactive media, whether now known or not, worldwide to the extent allowable by applicable law.
Tampering, Dishonest Conduct: Participants found tampering with or abusing any aspect of the Challenge, including but not limited to acting in violation of these Rules, attempting to participate in the Challenge other than in the manner allowed, to be acting with the intent to disrupt the normal operation of the Challenge, as determined by FreshBooks, will be disqualified. The discovery of any use of robotic, automatic, macro, programmed, third party or like methods to participate in the Challenge will void any attempted participation affected by such methods and the disqualification of the Participant utilizing the same in Freshbooks’ sole and absolute discretion.
FreshBooks reserves the right to cancel or suspend the Challenge should a virus, bug or other cause beyond their reasonable control corrupt the security or proper administration of the Challenge. Any attempt to deliberately damage any website or to undermine the legitimate operation of the Challenge is a violation of criminal and civil laws. Should such an attempt be made, FreshBooks reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution.
Odds of Winning: Odds of winning depend in part on the number of eligible entries and in part on the substance of the application. All entries that are incomplete, illegible, damaged, irregular, have been submitted through illicit means, using any robotic, automatic programmed method that artificially increases the odds of winning or do not conform to or satisfy any condition of the rules may be disqualified by FreshBooks. FreshBooks is not responsible for any errors or omissions in printing or advertising for the Challenge.
Decision of Judges Final: By entering, Participants agree to abide by the Challenge Rules and the decisions of FreshBooks and/or the judges, which decisions are final and binding on all Participants. Failure to comply with these Rules may result in disqualification from the Challenge.
Tax Information: All federal, state, local, and other taxes on the Prize and any other payments, if any, are the sole responsibility of the winner. Winners will need to provide proper taxpayer identification number before receipt of Prize (as defined above) for submission to applicable authorities.

Laws: These are official Challenge Rules. This Challenge is subject to applicable federal, state, and local laws and regulations.
Disputes: Any and all disputes related to the Challenge will be resolved in the appropriate courts of Massachusetts exclusively, and subject to the laws of the State of Massachusetts without regard to its conflict of laws principles.
Termination: FreshBooks and Fidelity reserve the right to amend or terminate all or any portion of this Challenge at any time for any reason without prior notice, unless prohibited by law.
